1. Scope of Applicability

1.1 These General Terms and Conditions of Sale (“GTCS”) apply to all sales of goods by us notwithstanding any conflicting, contrary or additional terms and conditions in any purchase order or other communication from you. No such conflicting, contrary or additional terms and conditions shall be deemed accepted by us unless and until we expressly confirm our acceptance in writing.

1.2 We reserve the right to change these GTCS at any time. We will give you thirty calendar days’ notice of any changes by posting notice on our website.

2. Offers, Purchase Orders and Order Confirmations

2.1 All offers made by us are open for acceptance within fifteen calendar days from the date of issue, unless otherwise specifically stated therein, and are subject to the availability of the goods offered.

2.2 All purchase orders issued by you shall specify as a minimum the type and quantity of goods requested, applicable unit prices, delivery place and requested delivery dates. No purchase order shall be binding on us unless and until confirmed by us in writing.

3. Prices and Terms of Payment

3.1 The prices for goods shall be those set forth in our order confirmation. All prices are exclusive of taxes, impositions and other charges, including, but not limited to, sales, use, excise, value added and similar taxes or charges imposed by any government authority.

3.2 Unless expressly stated otherwise in our order confirmation, payment for goods shall be made up front without offset or deduction.

3.3 You must submit such financial information from time to time as may be reasonably requested by us for the establishment or continuation of payment terms. We may in our sole discretion at any time change agreed payment terms without notice by requiring payment cash in advance or cash on delivery, bank guarantee, letter of credit or otherwise.

3.4 If you fail to pay any invoice within seven calendar days of the due date of payment, we may suspend delivery of any purchase order or any remaining balance thereof until payment is made or terminate delivery of any purchase order or any remaining balance thereof by providing written notice of termination to you within seven calendar days of the expiration of the grace period. Further, we may charge you interest from the due date to the date of payment at the rate of 1 ½ % per month. This shall be in addition to, and not in limitation of, any other rights or remedies to which we are or may be entitled at law or in equity.

3.5 Title to goods delivered shall remain vested in us and shall not pass to you until the goods have been paid for in full. If you fail to pay any invoice within fourteen calendar days of the due date of payment, we may retake the goods covered by the invoice. You must insure all goods delivered to their full replacement value until title to the goods has passed to you.

3.6 For enduser orders, we according to Danish law allow cancellation within the first 14 days. Payment will be refund after receipt of goods back.

4. Terms of Delivery and Late Delivery

4.1 Unless expressly stated otherwise in our order confirmation, all deliveries of goods shall be ex works in accordance with Incoterms 2010. The risk of loss of or damage to goods shall pass to you in accordance with the agreed delivery term.

4.2 The delivery dates of goods shall be those set forth in our order confirmation. If we fail to deliver goods within 14 calendar days of the agreed delivery date, you may terminate the applicable purchase order in whole or in part (as to those goods affected by the delay) by providing written notice of termination to us within seven calendar days of the expiration of the grace period. Further, you may claim damages for any loss suffered as a result of the delay subject to the limitation of liability below. These shall be your exclusive remedies for late delivery.

4.3 We reserve the right to make delivery in instalments.

5. Acceptance of goods

5.1 You must inspect goods delivered upon receipt. You are deemed to have accepted goods delivered unless written notice of rejection specifying the reasons for rejection is received by us within five calendar days after delivery of the goods.

6. Warranty

6.1 We warrant that upon delivery and for a period of twenty-four months from the date of delivery goods purchased hereunder will conform in all material respects to the applicable manufacturer’s specifications for such goods and will be free from material defects in workmanship, material and design under normal use. The warranty does not cover damage resulting from misuse, negligent handling, lack of reasonable maintenance and care, accident or abuse by anyone other than us.

6.2 With respect to goods which do not conform to the warranty our liability is limited, at our election, to (i) refund of the purchase price for such goods less a reasonable amount for usage, (ii) repair of such goods, or (iii) replacement of such goods; provided, however, that such goods must be returned to us, along with acceptable evidence of purchase, within fourteen calendar days after you discovered the lack of conformity or ought to have discovered it.

6.3 We make no other warranty, express or implied, with respect to goods delivered hereunder, and the warranty constitutes our sole obligation in respect of any lack of conformity of goods delivered hereunder (except title). In particular, we make no warranty with respect to the merchantability of goods delivered or their suitability or fitness for any particular purpose.

7. Intellectual Property Rights Infringement

7.1 If any goods delivered hereunder are held to infringe a third party’s patent, utility model, design, trademark or other intellectual property right and you are enjoined from using same, we will, at our option and expense, (i) procure for you the right to continue using the goods; (b) replace the goods with non-infringing substitutes provided that such substitutes do not entail a material diminution in performance or function; (c) modify the goods to make them non-infringing; or (d) refund the purchase price of the goods less a resonable amount for usage. The foregoing states our sole liability for intellectual property rights infringement.

8. Limitation of Liability

8.1 Neither of us will be entitled to, and neither of us shall be liable for, indirect, special, incidental, consequential or punitive damages of any nature, including, but not limited to, business interruption costs, loss of profit, removal and/or reinstallation costs, reprocurement costs, loss of data, injury to reputation or loss of customers. Your recovery from us for any claim shall not exceed the purchase price for the goods giving rise to such claim irrespective of the nature of the claim, whether in contract, tort, warranty or otherwise.

8.2 We shall not be liable for any claims based on our compliance with your designs, specifications or instructions or repair, modification or alteration of any goods by parties other than us or use in combination with other goods.

9. Force Majeure

9.1 Either party shall be excused from any delay or failure in performance if caused by reason of any occurrence or contingency beyond its reasonable control, including, but not limited to, acts of God, acts of war, fire, insurrection, strikes, lock-outs or other serious labor disputes, riots, earthquakes, floods, explosions or other acts of nature. The obligations and rights of the party so excused shall be extended on a day-to-day basis for the time period equal to the period of such excusable interruption. When such events have abated, the parties’ respective obligations shall resume. In the event the interruption of the excused party’s obligations continues for a period in excess of thirty calendar days, either party shall have the right to terminate the applicable contract(s) of sale, without liability, upon thirty calendar days’ prior written notice to the other party.

10. Miscellaneous

10.1 The United Nations Convention for the International Sale of Goods shall not apply to these GTCS or to any contracts of sale entered into between us.

10.2 No waiver of any provision of these GTCS shall constitute a waiver of any other provision(s) or of the same provision on another occasion. Failure of either party to enforce any provision of these GTCS shall not constitute a waiver of such provision or any other provision(s) of these GTCS.

10.3 Should any provision of these GTCS be held by a court of competent jurisdiction to be illegal, invalid or unenforceable, such provision may be modified by such court in compliance with the law giving effect to the intent of the parties and enforced as modified. All other terms and conditions of these GTCS shall remain in full force and effect and shall be construed in accordance with the modified provision.

10.4 These GTCS and all contracts of sale entered into between us shall be governed by and construed in accordance with the laws of Denmark without giving effect to any choice of law or conflict of law provisions. Any suits, actions or proceedings that may be instituted by either of us against the other shall be instituted exclusively before the competent courts of Denmark, however, without prejudice to our right to bring suits, actions or proceedings in any other court which would have jurisdiction if this provision had not been incorporated into these GTCS.{:}{:es}General Terms and Conditions of Sale for WorldTasteVision

1. Anvendelse

1.1 Anvendelse. Almindelige salgs- og leverings-betingelser (”Betingelserne”) gælder for alle aftaler om World Taste Vision, CVR-num¬mer 37806552 (”Virksomheden”) salg og levering af produkter, reservedele og til¬knyttede ydelser til erhvervskunder.

2. Aftalegrundlag

2.1 Aftalegrundlag. Betingelserne udgør sammen med Virksomhedens tilbud og ordrebekræf-telser det samlede aftalegrundlag om Virk-somhedens salg og levering af produkter, re-servedele og tilknyttede ydelser til kunden (”Aftalegrundlaget”). Kundens indkøbsbe¬ting-elser trykt på ordrer eller på anden måde meddelt til Virksomheden udgør ikke en del af Aftalegrundlaget.

2.2 Ændringer og tillæg. Ændringer af og tillæg til Aftalegrundlaget er kun gældende, hvis parterne har aftalt dem skriftligt.

3. Produkter, reservedele og ydelser

3.1 Produkter og reservedele. Produkter og re-servedele, som Virksomheden sælger og le-verer til kunden, er nye og overholder dansk lovgivning ved leveringen. Virksomheden sælger og leverer reservedele til et produkt i mindst 0 måneder efter, at det er leveret til kunden.
3.2 Ansvarsbegrænsning. Produkter, reservedele og tilknyttede ydelser, som Virksomheden sælger og leverer til kunden, er beregnet til vindekantering. Uanset eventuelle modstå-ende vilkår i Aftalegrundlaget er Virksomhe-den i ingen tilfælde ansvarlig for tab eller skade, der kan henføres til brug til andet formål eller til brug uden for Danmark. Kun-den skal skadesløsholde Virksomheden, i det omfang Virksomheden måtte ifalde ansvar for sådant tab eller skade.

4. Pris og betaling

4.1 Prisen for produkter, reservedele og tilknyttede ydelser følger Virksomhedens gældende prisliste på det tidspunkt, hvor Virksomheden bekræfter kundens ordre, medmindre parterne har aftalt andet skrift-ligt. Alle priser er inkusive moms.

4.2 Betaling. Kunden skal betale alle fakturaer for produkter, reservedele eller tilknyttede ydelser på forhånd, medmindre parterne har aftalt andet skriftligt.

4.3 Fortrydelse

Jævnfør gældende lovgivning for internet-handel har kunden 14 dages fortrydelsesret. Tilbagebetalingen sker når firmaet har mod-taget produktet i ubrugt og intakt tilstand.

5. Forsinket betaling

5.1 Rente. Hvis kunden undlader at betale en faktura for produkter, reservedele eller til-knyttede ydelser rettidigt af årsager, som Virksomheden er uden ansvar for, har Virk-somheden ret til rente af det forfaldne beløb på 1 % pr. måned fra forfaldstid og til beta-ling sker.

5.2 Ophævelse. Hvis kunden undlader at betale en forfalden faktura for produkter, reserve-dele eller tilknyttede ydelser senest 14 dage efter at have modtaget skriftligt påkrav om betaling fra Virksomheden, har Virksomhe-den ud over rente efter pkt. 5.1 ret til at: (i) ophæve salget af de produkter, reservedele og/eller tilknyttede ydelser, som forsinkelsen vedrører, (ii) ophæve salget af produkter, reservedele og/eller tilknyttede ydelser, som endnu ikke er leveret til kunden, eller kræve forudbetaling herfor, og/eller (iii) gøre andre misligholdelsesbeføjelser gældende.

6. Tilbud, ordrer og ordrebekræftelser

6.1 Tilbud. Virksomhedens tilbud er gældende i 10 dage fra den dato, tilbuddet er dateret, medmindre andet fremgår af tilbuddet. Ac-cept af tilbud, der er Virksomheden i hænde efter acceptfristens udløb, er ikke bindende for Virksomheden, medmindre Virksomhe-den meddeler kunden andet.

6.2 Ordrer. Kunden skal sende ordrer på produkter, reservedele eller tilknyttede ydelser til Virksomheden skriftligt. En ordre skal indeholde følgende oplysninger for hvert ordret produkt, reservedel eller ydelse: (i) Ordrenummer, (ii) Varenummer, (iii) Varebeskrivelse, (iv) Mængde, (v) Pris, (vi) Betalingsbetingelser, (vii) Leveringsdato, (viii) Leveringsadresse, og (ix) Leveringsbetingelser.

6.3 Ordrebekræftelser. Virksomheden tilstræber at sende bekræftelse eller afslag af en ordre på produkter, reservedele eller tilknyttede ydelser til kunden skriftligt senest 10 ar-bejdsdage efter modtagelse af ordren. Be-kræftelser og afslag af ordrer skal være skriftlige for at binde Virksomheden.

6.4 Ændring af ordrer. Kunden kan ikke ændre en afgivet ordre på produkter, reservedele eller tilknyttede ydelser uden Virksomhedens skriftlige accept.

6.5 Uoverensstemmende vilkår. Hvis Virksomhe-dens bekræftelse af en ordre på produkter, reservedele eller tilknyttede ydelser ikke stemmer overens med kundens ordre eller Aftalegrundlaget, og kunden ikke ønsker at acceptere de uoverensstemmende vilkår, skal kunden meddele det til Virksomheden skriftligt senest 2 arbejdsdage efter modta-gelse af ordrebekræftelsen. I modsat fald er kunden bundet af ordrebekræftelsen.

7. Levering

7.1 Leveringsbetingelse. Virksomheden leverer alle solgte produkter og reservedele ab fa-brik].

7.2 Leveringstid. Virksomheden leverer alle solg-te produkter, reservedele og tilknyttede ydelser til den tid, der fremgår af Virksom-hedens ordrebekræftelse. Virksomheden har ret til at levere før den aftalte leveringstid, medmindre parterne har aftalt andet.

7.3 Undersøgelse. Kunden skal undersøge alle produkter, reservedele og tilknyttede ydelser ved leveringen. Hvis kunden opdager en fejl eller mangel, som kunden ønsker at påberå-be sig, skal den straks meddeles skriftligt til Virksomheden. Hvis en fejl eller mangel, som kunden opdager eller burde have opdaget, ikke straks meddeles skriftligt til Virksomheden, kan den ikke senere gøres gældende.

8. Forsinket levering

8.1 Meddelelse. Hvis Virksomheden forventer en forsinkelse i leveringen af produkter, reser-vedele eller tilknyttede ydelser, informerer Virksomheden kunden om det og oplyser samtidig årsagen til forsinkelsen og ny for-ventet leveringstid.

8.2 Ophævelse. Hvis Virksomheden undlader at levere produkter, reservedele eller tilknytte-de ydelser senest 14 dage efter den aftalte leveringstid af årsager, som kunden er uden ansvar for, og levering ikke sker inden en rimelig frist på mindst 7 dage, kan kunden ophæve den eller de ordrer, der er berørt af forsinkelsen, uden varsel ved skriftlig med-delelse til Virksomheden. Kunden har ikke andre rettigheder i anledning af forsinket le-vering.

9. Garanti

9.1 Garanti. Virksomheden garanterer, at pro-dukter, reservedele og tilknyttede ydelser er fri for væsentlige fejl og mangler i design, materialer og udførelse i 12 måneder efter leveringen. For dele, der udskiftes under ga-ranti, udgør garantiperioden 12 måneder fra udskiftningen, dog maksimalt 12 måneder fra oprindelig levering.

9.2 Undtagelser. Virksomhedens garanti omfat-ter ikke fejl eller mangler, der skyldes: al-mindelig slitage, (ii) opbevaring, installa¬tion, brug eller vedligeholdelse i strid med Virk-somhedens instruktioner eller almindelig praksis, (iii) reparation eller ændring udført af andre end Virksomheden, og (iv) andre forhold, som Virksomheden er uden ansvar for.

9.3 Meddelelse. Hvis kunden opdager en fejl eller mangel i garantiperioden, som kunden ønsker at påberåbe sig, skal den straks meddeles skriftligt til Virksomheden. Hvis en fejl eller mangel, som kunden opdager eller burde have opdaget, ikke straks meddeles skriftligt til Virksomheden, kan den ikke senere gøres gældende. Kunden skal give Virksomheden de oplysninger om en meddelt fejl eller mangel, som Virksomheden beder om.

9.4 Undersøgelse. Inden rimelig tid efter at Virk-somheden har modtaget meddelelse fra kun-den om en fejl eller mangel og undersøgt kravet, meddeler Virksomheden kunden, om fejlen eller manglen er omfattet af garanti. Kunden skal efter anmodning sende defekte dele til Virksomheden. Kunden bærer om-kostningerne ved og risikoen for dele under transport til Virksomheden. Virksomheden bærer omkostningerne ved og risikoen for dele under transport til kunden, hvis fejlen eller manglen er omfattet af garanti.

9.5 Afhjælpning. Inden rimelig tid efter at Virk-somheden har afgivet meddelelse til kunden efter pkt. 9.4 om, at en fejl eller mangel er omfattet af garanti, afhjælper Virksomheden fejlen eller manglen ved at: (i) udskifte eller reparere defekte dele, eller (ii) sende dele til kunden med henblik på kundens egen ud-skiftning eller reparation.

9.6 Ophævelse. Hvis Virksomheden undlader at afhjælpe en fejl eller mangel omfattet af ga-ranti inden rimelig tid efter, at Virksomheden har givet meddelelse til kunden efter pkt. 9.4, af årsager, som kunden er uden ansvar for, og fejlen eller manglen ikke er afhjulpet inden en rimelig frist på mindst 14 dage, kan kunden ophæve den eller de ordrer, der er berørt af fejlen eller manglen, uden varsel ved skriftlig meddelelse til Virksomheden. Kunden har ikke andre rettigheder i anled-ning af fejl eller mangler ved produkter, re-servedele eller tilknyttede ydelser end dem, der udtrykkeligt fremgår af pkt. 9.

10. Ansvar

10.1 Ansvar. Hver part er ansvarlig for egne handlinger og undladelser efter gældende ret med de begrænsninger, der følger af Aftale-grundlaget.

10.2 Produktansvar. Virksomheden er ansvarlig for produktansvar med hensyn til leverede produkter og reservedele, i det omfang et sådant ansvar følger af ufravigelig lovgiv-ning. Kunden skal skadesløsholde Virksom-heden, i det omfang Virksomheden måtte ifalde produktansvar herudover.

10.3 Ansvarsbegrænsning. Uanset eventuelle modstående vilkår i Aftalegrundlaget kan Virksomhedens ansvar over for kunden ikke pr. kalenderår samlet overstige 20 % af det salg af produkter, reservedele og tilknyttede ydelser, som Virksomheden netto har faktu-reret til kunden i det umiddelbart foregående kalenderår. Ansvarsbegræns¬ningen gælder ikke, hvis Virksomheden har handlet forsæt-ligt eller groft uagtsomt.

10.4 Indirekte tab. Uanset eventuelle modstående vilkår i Aftalegrundlaget er Virksomheden ik-ke ansvarlig over for kunden for indirekte tab, herunder tab af produktion, salg, fortje-neste, tid eller goodwill, medmindre det er forårsaget forsætligt eller groft uagtsomt.

10.5 Force majeure. Uanset eventuelle modståen-de vilkår i Aftalegrundlaget er Virksomheden ikke ansvarlig over for kunden for manglen-de opfyldelse af forpligtelser, som kan hen-høres til force majeure. Ansvarsfriheden be-står, så længe force majeure består. Som force majeure anses forhold, der er uden for Virksomhedens kontrol, og som Virksomhe-den ikke burde have forudset ved aftalens indgåelse. Eksempler på force majeure er usædvanlige naturforhold, krig, terror, brand, oversvømmelse, hærværk og ar-bejdsstridigheder.

11. Immaterielle rettigheder

11.1 Ejendomsret. Den fulde ejendomsret til alle immaterielle rettigheder vedrørende produk-ter, reservedele og tilknyttede ydelser, her-under patenter, design, varemærker og op-havsrettigheder, tilhører Virksomheden.

11.2 Krænkelse. Hvis leverede produkter eller reservedele krænker tredjeparts immaterielle rettigheder, skal Virksomheden for egen regning: (i) sikre kunden ret til at fortsætte med at bruge de krænkende produkter eller reservedele, (ii) ændre de krænkende produkter eller reservedele, så de ikke længere krænker, (iii) erstatte de krænkende produkter eller reservedele med nogle, der ikke krænker, eller (iv) tilbagekøbe de krænkende produkter eller reservedele til den oprindelige nettokøbspris med fradrag af 20 % pr. år siden leveringen. Kunden har ikke andre rettigheder i anled-ning af produkters, reservede¬les eller tilknyt-tede ydelsers krænkelse af tredjeparts immaterielle rettigheder.

12. Fortrolighed

12.1 Videregivelse og brug. Kunden må ikke vide-rebringe eller bruge eller sætte andre i stand til at bruge Virksomhedens erhvervshemmeligheder eller andre oplys¬ninger uanset art, som ikke er offentligt tilgængelige.

12.2 Beskyttelse. Kunden må ikke på utilbørlig måde skaffe sig eller forsøge at skaffe sig kendskab til eller rådighed over Virksomhe-dens fortrolige oplysninger som beskrevet i pkt. 12.1. Kunden skal omgås og opbevare oplysningerne forsvarligt for at undgå, at de utilsigtet kommer til andres kundskab.

12.3 Varighed. Kundens forpligtelser efter pkt. 12.1-12.2 gælder under parternes samhan-del og uden tidsbegrænsning efter samhand-lens ophør uanset årsagen til ophøret.

13. Gældende ret og værneting

13.1 Gældende ret. Parternes samhandel er i alle henseender underlagt dansk ret.

13.2 Værneting. Enhver tvist, som måtte opstå i forbindelse med parternes samhandel, skal afgøres ved en dansk domstol.{:}
